ประกาศแจ้งการร่วมมือทางธุรกิจระหว่าง บริษัท เจดับเบิ้ลยูดี อินโฟโลจิสติกส์ จำกัด (มหาชน) และ บริษัท เอสซีจี โลจิสติกส์แมเนจเม้นท์ จำกัด
ธุรกิจโลจิสติกส์เปรียบได้กับฟันเฟืองสำคัญที่อยู่เบื้องหลังความสำเร็จของกิจการ ซึ่งในสถานการณ์ปัจจุบันมีปัจจัยต่างๆ ส่งผลกระทบต่อผู้ประกอบธุรกิจให้ตระหนักถึงความสำคัญของงานบริหารจัดการด้านโลจิสติกส์ ให้เกิดประสิทธิภาพสูงที่สุด และสามารถมอบโซลูชั่นส์ที่เป็น One Stop Service อย่างแท้จริง
บริษัทฯ ขอเรียนแจ้งลูกค้าและผู้มีอุปการคุณทุกท่าน ให้ทราบถึงพัฒนาการครั้งสำคัญ เพื่อเสริมศักยภาพทางธุรกิจให้เติบโตได้อย่างไร้ขีดจำกัดและยั่งยืน โดยวันที่ 26 ตุลาคม 2565 ที่ประชุมคณะกรรมการบริษัทฯ ครั้งที่ 6/2565 ได้มีมติเห็นชอบให้เสนอที่ประชุมผู้ถือหุ้นเพื่อพิจารณาอนุมัติการรวมกิจการ กับ บริษัท เอสซีจี โลจิสติกส์ แมเนจเม้นท์ จำกัด (บริษัทย่อยของ บริษัท ปูนซิเมนต์ไทย จำกัด (มหาชน)) โดยบริษัทฯ คาดว่าการเข้าทำรายการดังกล่าวจะสร้างประโยชน์ต่อบริษัทฯ ทั้งทางด้านธุรกิจ ด้านต้นทุน และด้านการบริหาร
บริษัทฯ จะดำเนินการเปลี่ยนชื่อใหม่เป็น บริษัท เอสซีจี เจดับเบิ้ลยูดี โลจิสติกส์ จำกัด (มหาชน) และเปลี่ยนชื่อย่อหลักทรัพย์จาก JWD เป็น SJWD รวมถึงมีการเปลี่ยนแปลงตราสัญลักษณ์ (Brand Logo) ตามภาพด้านล่างนี้ ภายหลังจากการรวมกิจการเสร็จสิ้น ซึ่งเบื้องต้นคาดว่าจะแล้วเสร็จในไตรมาสที่ 1 ปี 2566
สุดท้ายนี้ ขอให้ท่านมั่นใจว่า การดำเนินการดังกล่าวข้างต้น จะไม่ส่งผลกระทบต่อการให้บริการกับผู้ใช้บริการในปัจจุบัน พันธมิตรทางธุรกิจ และผู้มีอุปการคุณทุกท่าน และหวังเป็นอย่างยิ่งว่าจะได้รับโอกาสและการสนับสนุนที่ดีเสมอมาจากลูกค้าและพันธมิตรทุกราย

Notification of business cooperation between JWD InfoLogistics Public Company Limited and SCG Logistics Management Company Limited

These factors have sent repercussions to entrepreneurs and businessmen who have come to recognize the importance of logistics management to maximize efficiency and seek out a logistics service provider who can provide the solution that is truly a ‘One Stop Service’.”
On October 26, 2022, the Company’s Board of Directors’ Meeting No. 6/22, resolved to propose to the shareholders’ meeting to consider and approve the merger by exchanging newly issued ordinary shares in the Company with ordinary shares in SCG Logistics Management Company Limited (“SCGL”)
The Company plans to merge its business with SCGL by procuring the Entire Business Transfer (EBT) of SCGL and to require SCGL to register for the dissolution of SCGL with the Department of Business Development, Ministry of Commerce. Initially, the Company expects to complete the EBT transaction within the fourth quarter of 2023.
The Company hereby inform that the Company will change its name to SCG JWD Logistics Public Company Limited, and change the SET registered abbreviation from JWD to SJWD. Moreover, the Company and brand logo will be changed accordingly as in the illustration below, following the completion of the merger which is initially expected to be within the first quarter of 2023.
In conclusion, please rest assured that the Company remains committed to the development of logistics and supply chain services to cover all needs. The merger transaction as informed above will in no way affect the service provided to the current service users, business partners and all stakeholders.
The Company sincerely believes that it will be able to enhance the services under the strong capability of the two united experts in the business to allow the Company to be able to promote sustainable and efficient growth of all customers, benefactors and stakeholders.
